CONDITIONS OF TRADING

1. Application Of Terms
The terms, conditions and warranties contained in the catalogues, price lists and/or confirmation of order of NTRON EUROPE LTD (“the Company”) shall constitute the whole of the contract between the Customer and the Company.

2. Quotations and Prices

a) Quotations and prices only refer to goods and/or services specified therein. All prices quoted are in Euro and are those prevailing at the date of quotation. They are subject to variation in the event of changes in the cost of materials, labour, rates of exchange, freight rates and other price governing factors. All goods and services will be invoiced at the price applicable at the date if the invoice.

b) Prices quoted exclude VAT which will appear as a separate item on the Company’s’ invoice and is payable by the Customer.

c) Unless otherwise agreed, prices are in an ex-works basis including packing and loading on the Company’s’ premises and excluding freight and installation. Packing material is not returnable.

3. Acceptance
Unless previously withdrawn the Company’s’ quotation is open for acceptance for 30 days from the date it bears. The contract is accepted only upon written confirmation by the Company of the Customer’s order.

4. Catalogues and Drawings
The Company should bear no responsibility of any kind for the contents of any literature illustrating material, drawings, specifications or any other date produced by the manufacturer or any third party. Whilst every are is taken in the preparation of the Company’s Catalogues, price lists and quotations, all illustrated material, drawings and specifications and particulars of weights and dimensions contained therein are only to convey a general impression of the goods described. The customer acknowledges that he has placed no reliance therein in entering into any contract with the Company and they shall not form part of any contract or be binding in any way unless other wise specifically agreed in writing. The Company shall bear no responsibility of liability for or in regard to any inaccuracy or omission of any kind.

5. Performance
All performance data and other details are based on the manufacturer’s specifications and the Company cannot accept liability therefore. Unless otherwise agreed in writing the Customer assumes responsibility for the capacity and performance of the goods as specified in the order as being sufficient and suitable for the Customer’s purpose. The goods will be carefully inspected and tested before despatch. The Customer may attend such tests provided he notifies the Company when the order is placed of his intention to do so. If there is any delay on his part in attending after he has given seven days notice that the Company is ready, such test will proceed in his absence, and shall be deemed to have been made in his presence. The Company’s bona fide test certificate shall be accepted by the Customer as evidence of the performance achieved. If the certificate of test shows that performance achieved complied with the performance figure stated in the contract or specification, the goods shall be deemed to comply in all respects with the contract and the expense of any subsequent test shall be borne by the Customer. If the Company is the manufacturer the Company’s liability is limited to the written specifications of the goods provided by the Company to the Customer.
